2.5.1.- Availability, continuity, utility and fallibility.

ULC does not guarantee the availability and continuity of the operation of the service. The user acknowledges that it is not technically possible to achieve absolute and permanent availability of the website. However, ULC works to keep it continuously and uninterruptedly available.

We inform you that, for reasons of maintenance, technical updates or security or due to incidents beyond the control of ULC, there may be a temporary suspension of web services or certain anomalies in the provision of its services.

3.- ACCESS TO THE REGISTERED PARTNER ENVIRONMENT

Some environments of the ULC websites allow or require the user to create an account or register as a member in order to access and/or enjoy its services.

Only members of the ULC vacation club will be able to access the registered member environment. After signing the contract between the member partner and ULC, the partner will be assigned a user (PIN number) with different passwords for the owner, the co-owner and those persons designated by the owner.

The member is obliged to provide and update their identification, authentic and current information in the registration processes or web forms. Registered Member agrees not to impersonate, misrepresent, or make use of the name, password, or any other account information of another person or entity.

In addition, the registered member agrees to notify us immediately of any unauthorized use of their user name (PIN number), password, account information or any breach of security that they become aware of in the web environments of the ULC.

In the event of forgetting the password or user name (PIN), the registered member must use the link enabled to reset the password or, if applicable, contact ULC to generate a new access with a new password, once they have identified themselves. that the applicant is the true owner of the account.

ULC recommends the use of an alphanumeric combination for the password, so that it is difficult to guess and improve access security.

The identification and authentication procedures for access can be modified by ULC, however, they will be communicated to the registered partners accordingly.

The entirety of this website is protected by international laws on Intellectual and Industrial Property; and, in no case, access to the website implies any type of waiver, transmission or total or partial transfer of the rights granted by said legislation.

ULC will not be obliged to repair damages, direct or indirect, that are a consequence of services provided by external companies with which it has reached collaboration agreements and in which ULC acts only as a mere intermediary.

The content of this website is intended to offer our products and services, as well as to inform about our business activity.

CONTRACT CONDITIONS

In order to enjoy the benefits offered by the Ultimate Leisure Club, all reservation requests must be paid in full at the time of booking. To confirm your reservation, it is necessary to make the payment of the reservation with an international credit card, the charges for cancellation, no show or early departure will be deducted from said charge.

ULC has a cancellation policy for your reservation. They will be allowed:

• Cancellations made 6 days or less prior to arrival date; however, the invoiced amount will not be refunded and, in addition, the Premium/Platinum nights of the reservation will be deducted from the membership.
• Cancellations made 29 to 7 days before the arrival date, with a penalty of two (2) nights per person and the Premium/Platinum nights of the reservation will be deducted from the membership.
• Cancellations made 59 to 30 days before the arrival date, with a penalty of one (1) night per person.
• Cancellations made at least 60 days before the arrival date and will not have any penalty, so 100% of the amount will be refunded.

In any case, the reimbursement of the invoiced amount will be made during the following 7 working days after the cancellation request by the member.

Due to the international pandemic situation, if the member cancels their stay due to having tested positive for COVID-19, they will be reimbursed 100% of the stay, regardless of how far in advance the cancellation was made.

The same penalties as in the cancellation policy will be applied to modifications made to already confirmed reservations, depending on the date on which the modification is requested.

The "No shows" and early departures will not be refundable, except those that are considered emergencies.

ULC has two types of membership, Premium Collection and Platinum Collection. The different levels of each membership offer the member member different additional benefits both in the categories of the suites and in the services in the Resort.

All benefits may vary by location and are subject to space and availability.

INFORMATIVE COMMUNICATIONS AND PRIVACY POLICY

By joining ULC, you authorize us to use your contact information, including, but not limited to, your mobile phone number, primary phone number, primary address, secondary address, email address, etc. to contact you for informational and marketing purposes, as it is necessary for the fulfillment of the main purpose of being a member. However, as a Member, you may opt out of receiving messages and informational materials from ULC at any time by contacting us.

By using this Site and/or submitting information to us, you consent to the Privacy Policy for the use of your personal information by ULC and/or or its affiliated or subsidiary companies (Sirenis group companies), tourist service exchange companies and/or selected providers for the provision of services contracted with ULC. DURATION AND MODIFICATION

ULC has the right to modify the Terms and Conditions set forth herein unilaterally, in whole or in part. Any changes will appear in the same form as they are in this legal notice.

The temporary validity of this legal notice coincides, therefore, with the time of its exposure, until such time as they are totally or partially modified by the company.

ULC may unilaterally terminate, suspend or interrupt the operation of this website, without the possibility of requesting any compensation from the user. After said termination, the user must destroy all information about ULC that he has in any format and that he has obtained through the site or through communications made individually to the user by it. Whenever reasonably possible, prior notice will be given of the termination or suspension of the provision of services.

APPLICABLE LAW AND JURISDICTION

In general, relations with users arising from the provision of services contained on this website and for any dispute when the affected party is a consumer, are subject to the laws of Panama and the jurisdiction of the user. For the rest of the controversies, the user submits to the legislation and jurisdiction of Panama.

Costs associated with defending any claim brought against ULC, within which ULC prevails, will be the responsibility of the party initiating the dispute, including, but not limited to, attorneys' fees and court costs.

Since the start of the COVID-19 pandemic, the number of cyberattacks and phone call and email scams targeting vacation ownership partners has increased.

Be aware that fraudulent companies use various tactics such as phishing, smishing, vishing, and even posing as ULC to offer illegal rental and resale services.

Ensuring the security of information and the privacy of our members is a priority for ULC at all times. We ask you to stay alert for fraudulent calls, texts and emails, while we inform you about the following:
